- All product information, specifications, and pricing on our website are subject to change without notice.
- Quotes are valid for the period stated in the quote document. Quote acceptance creates a binding order.
- We reserve the right to refuse or cancel orders for any reason, including but not limited to suspected fraud, regulatory restrictions, inventory limitations, or breach of these Terms.
- All orders are subject to our Standard Sales Terms, which may include payment terms, lead times, and quality specifications applicable to your order.
3. Product Specifications and Quality
- Products are sold to the specifications listed in the applicable Product Data Sheet, Certificate of Analysis (COA), and quote document.
- We provide a COA with every shipment.
- Buyer is responsible for confirming product specifications meet their intended use, regulatory requirements, and formulation needs.
4. Payment
- Payment terms are set in the applicable order or quote.
- Late payments may incur interest and collection costs as permitted by law.
5. Shipping and Delivery
- Shipping terms (Incoterms) are stated in the applicable quote.
- Risk of loss transfers to Buyer per the applicable Incoterms.
- Estimated lead times are not guaranteed; actual delivery may vary based on production schedule, raw material availability, and shipping conditions.
6. Returns and Refunds
Please refer to our Refund and Returns Policy for the full procedure. In summary, returns are accepted only for orders that fail QA / COA review or arrive damaged, subject to inspection and approval.
7. Use of Products
- Our products are functional ingredients sold for further formulation, manufacturing, or downstream use by qualified businesses.
- Buyer is solely responsible for the regulatory compliance, labeling, marketing claims, and consumer safety of finished products incorporating our ingredients.
- Mushroom Plenty makes no representations regarding the suitability of our products for any specific finished-good application.
8. Intellectual Property
- All content on mushroomplenty.com is owned by or licensed to Mushroom Plenty and is protected by intellectual property laws.
- You may not copy, reproduce, or distribute our content without prior written permission.
- Custom formulations developed under a separate agreement may have specific IP terms; refer to that agreement.
9. Limitation of Liability
To the fullest extent permitted by law, Mushroom Plenty’s total liability arising out of any order, product, or use of our website is limited to the amount paid by Buyer for the relevant order. We are not liable for indirect, consequential, or incidental damages.
10. Indemnification
Buyer agrees to indemnify and hold Mushroom Plenty harmless from claims, damages, or costs arising from Buyer’s use of our products in finished goods, including but not limited to claims related to product labeling, marketing claims, and consumer safety.
11. Governing Law
These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles. Any dispute will be resolved in the courts of New Jersey.
12. Changes to These Terms
We may update these Terms at any time. The “Last updated” date at the top reflects the most recent revision. Continued use of our website or services after changes constitutes acceptance.
